BY USING MIDIWING YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. THESE ARE THE ONLY TERMS UPON WHICH MIDIWING SOFTWARE IS LICENSED. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST CEASE USING IT. These terms and conditions comprise a contract between you (“Licensee”) and ENTTEC Pty Ltd of Unit 17/5 Samantha Court, Knoxfield 3180, Australia. The Licensee will be permitted to use MIDIwing (“the Software; encompassing all applications, and databases”) only if the terms of ENTTEC are agreed to. If the Licensee is a company then the agreement of the person accepting the terms of this License shall be deemed to be acceptance by the Company. 1. Intellectual Property 1.1 The Licensee acknowledges that all intellectual property rights, including copyright relating to the Software, are the sole property of ENTTEC PTY LTD. 1.2 The Licensee acknowledges that all source code and form definitions relating to the Software are the sole property of ENTTEC PTY LTD and may not be modified in any way. 1.3 The Licensee acknowledges that all enhancements, modifications or customisations, including associated source code and form definitions, made by or on behalf of the licensee relating to the Software, are the sole property of ENTTEC PTY LTD. 1.4 The Licensee does not obtain; either under this Licence or by reason of use of this Software, any right to copy the Software, or any right to use the Software after the Licence has terminated. 2. Licence 2.1 The Licensee is granted a non-exclusive, non-transferable Licence to install and use the Software for the Licensee's own internal business purposes, provided the Licensee pays the charges for the Licence (if any). 2.2 The Licensee shall during the continuance of the Licence for internal use: 2.2.1 Use the Software only as allowed for under this Licence. 2.2.2 No copy or reverse engineer the Software or allow it to be copied or reverse engineered by any third party, or modify the source code or form definitions in any way. 2.2.3 Effect and maintain adequate security measures to safeguard the Software from access or use by any unauthorised person. 2.2.4 Retain the Software and all copies thereof under the Licensee's effective possession and control. 3. Assignment 3.1 The Licensee may not transfer the benefits of this Licence or the Software to any other person or entity without the prior written consent of ENTTEC PTY LTD. 4. Warranty and Limitation of Liability 4.1 ENTTEC PTY LTD warrants that when the Software is used with reasonable skill and care it will provide the functionality specified. This warranty is valid for a period of 90 days from the date of purchase. 4.2 ENTTEC PTY LTD is not liable to any third party for any loss or damage arising directly or indirectly in connection with the Software, including (but without limitation) any loss of profit, business, revenue, goodwill or anticipated savings. This exclusion of liability applies to liability in contract tort, and any other principle of legal liability. 4.3 ENTTEC PTY LTD is not liable to correct any fault due to: 4.3.1 User negligence. 4.3.2 Misuse. 4.3.3 Alteration, modification or attachment without the prior written consent of ENTTEC PTY LTD. 4.3.4 Power surges or problems caused by external power supply. 4.3.5 Excessive temperature, humidity or other environmental factors. 4.3.6 ENTTEC PTY LTD’s inability to gain access to the purchaser’s computer equipment. 4.3.7 Relocation or transportation. 4.4.8 Accident, earthquake or other disaster. 5. Termination 5.1 ENTTEC PTY LTD may terminate this Licence at any time on written notice. 5.2 Upon termination by ENTTEC PTY LTD, the Licensee will be required to return the Software to ENTTEC PTY LTD and confirm in writing that no copies of the Software have been made and retained. 6. Governing Law 6.1 This Agreement shall be governed by the laws of Australia and is subject to the exclusive jurisdiction of the Courts of Australia. In summary, MIDIwing is provided “as-is” and no warranties, express or implied are given that it will successfully work in particular situations for specific purposes. It has been shown in a representative sample of environments and conditions to do what it is intended to do, and to the developer's best knowledge and belief, it will function correctly for all foreseeable installations, but no rigorous testing with every possible scenario could be done in any reasonable manner. Therefore the user assumes all responsibility for direct or consequential damages arising from the use of MIDIwing, whether physical or due to loss of business or other undesirable outcomes. While the user is free to modify the sample wing profiles supplied with the program, to suit their given situation, or to attempt to use Enttec wings with other heretofore untested programs or hardware devices, this is to be done at user's own risk, and Enttec can not officially support the program once these steps have been taken. Enttec personnel will attempt to offer unofficial advice and guidance through online forums and via email, for users wishing to develop their own profiles for new equipment. This will be strictly on an as-available basis, and user is cautioned not to expect an immediate or timely rescue should such an undertaking be started. That being said, please write to support@enttec.com and include a copy of any profile that is giving you trouble, plus all relevant documentation for the software or hardware you are attempting to communicate with. Because MIDIwing is being distributed for free, telephone support will not be possible
